Terms of Service

These Terms of Service govern the use of desktop software applications and associated services provided by Winsoft Solutions, including Winsoft BusinessBuddy, Winsoft MediSmart, and Winsoft MediSmart Plus.

1 Acceptance of These Terms

These Terms of Service ("Terms") govern the use of software products and services provided by Winsoft Solutions ("Winsoft", "we", "us", or "our").

Our products include, but are not limited to:

  • Winsoft BusinessBuddy
  • Winsoft MediSmart
  • Winsoft MediSmart Plus

By installing, accessing, or using a Winsoft software product or related service, you agree to these Terms.

If you do not agree with these Terms, you should not install or use the applicable Winsoft software product or service.

2 Our Software Products

Winsoft develops and provides desktop software applications for business and professional use.

The functionality available to a customer depends on the particular product, edition, license, configuration, and services purchased by the customer.

Features may include business management, accounting, inventory management, billing, medical practice management, reporting, printing, database management, and other related functionality.

Winsoft may modify, improve, add, or remove features from its products from time to time.

3 Software License

Unless otherwise specified in a separate written agreement, the customer receives a limited, non-exclusive, non-transferable license to use the purchased Winsoft software according to the applicable license terms and the number of systems or users permitted by the purchased license.

The software is licensed, not sold.

The customer may not:

  • Copy or redistribute the software except as expressly permitted by the applicable license.
  • Resell, rent, lease, sublicense, or commercially redistribute the software without written authorization from Winsoft.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software, except where such activity is expressly permitted by applicable law.
  • Remove or alter copyright, trademark, licensing, or other proprietary notices.
  • Use the software in a manner that violates applicable law.

Additional license terms may apply to particular products, editions, or services.

4 Customer Responsibility for Data

Customers are responsible for the accuracy, legality, completeness, and security of information entered into or maintained using Winsoft software.

Customers are also responsible for maintaining appropriate backups of their databases and other important information.

Where a Winsoft application stores data in a database located at the customer's premises or under the customer's control, the customer is responsible for the security, availability, backup, and maintenance of that database and the systems hosting it.

Limitation of Responsibility: Winsoft is not responsible for loss of customer data resulting from failure to maintain appropriate backups, hardware failure, operating-system failure, unauthorized access, malware, accidental deletion, or other circumstances outside Winsoft's reasonable control.

5 Email and Gmail Integration

Some Winsoft desktop applications provide an optional facility to send email using the customer's own Gmail or Google Workspace account.

This functionality uses Google's Gmail API and requires the customer to authorize the application through Google's authentication and authorization process.

The customer is responsible for:

  • Providing authorization for the Gmail account.
  • Ensuring that the email account is authorized to be used for sending emails.
  • Ensuring that the email addresses and content used in emails are accurate and lawful.
  • Complying with applicable laws and regulations relating to electronic communications and marketing.

Winsoft does not provide the customer's Gmail account and is not responsible for Google's Gmail service, availability, policies, limitations, or changes to the Gmail API.

The use of Gmail is also subject to Google's applicable terms and policies.

6 Third-Party Services

Winsoft applications may integrate with or use third-party services, including Google services, payment services, hosting services, communication services, or other external services.

The availability and functionality of third-party services may depend on the respective third-party provider.

Winsoft does not control third-party services and cannot guarantee their continued availability or functionality.

Your use of a third-party service may be subject to that provider's separate terms, conditions, and privacy policies.

7 Updates and Maintenance

Winsoft may provide software updates, bug fixes, improvements, security updates, and new features from time to time.

The availability of updates may depend on the customer's license, maintenance agreement, subscription, or other applicable commercial arrangement.

Winsoft may discontinue support for older software versions or technologies when reasonably necessary.

8 Technical Support

Where technical support is included with the customer's license, maintenance agreement, subscription, or service package, Winsoft may provide assistance through available support channels.

Support terms, response times, availability, and included services may vary depending on the customer's applicable agreement.

Winsoft may request temporary remote access to a customer's computer, where necessary and authorized by the customer, for troubleshooting or technical support.

The customer remains responsible for ensuring that appropriate authorization is provided before granting remote access.

9 Availability and Changes to Services

We make reasonable efforts to keep our software and related services functional and available.

However, we do not guarantee that software or services will always be uninterrupted, error-free, or available.

Features may depend on operating systems, hardware, databases, internet connectivity, third-party services, or other technologies outside Winsoft's control.

We may modify, suspend, or discontinue particular features or services where reasonably necessary.

10 Security

Customers are responsible for maintaining appropriate security for their computers, networks, databases, user accounts, passwords, and other systems under their control.

Customers should use appropriate operating-system security, antivirus protection, firewalls, access controls, backups, and other security measures appropriate to their environment.

Where Winsoft applications use third-party authentication services such as Google OAuth, customers are responsible for maintaining the security of their authorized accounts and devices.

11 Acceptable Use

Customers must use Winsoft software and services only for lawful purposes.

Customers must not use Winsoft software to:

  • Conduct fraudulent or unlawful activities.
  • Send spam or unauthorized communications.
  • Distribute malicious software.
  • Gain unauthorized access to systems or accounts.
  • Violate the privacy or rights of others.
  • Circumvent software licensing or access controls.
  • Use third-party services in violation of those services' terms.

When using the Gmail integration, customers must comply with Google's applicable policies and all applicable laws governing email communications.

12 Intellectual Property

Winsoft software, including its source code, object code, design, user interface, documentation, trademarks, logos, graphics, and other related materials, is owned by or licensed to Winsoft and is protected by applicable intellectual-property laws.

Except for the limited license granted to the customer, these Terms do not transfer any ownership rights in Winsoft's intellectual property to the customer.

Winsoft, Winsoft Solutions, Winsoft BusinessBuddy, Winsoft MediSmart, and Winsoft MediSmart Plus and associated logos and marks may be trademarks or trade names of Winsoft Solutions.

13 Customer Data Ownership

Customers retain ownership of the business information and other data that they enter into or maintain using Winsoft applications, subject to any rights of third parties in that information.

These Terms do not transfer ownership of customer data to Winsoft.

Winsoft may process information only as necessary to provide the applicable software, support, maintenance, or other services requested by the customer and as described in our Privacy Policy or applicable agreements.

14 Privacy

Our handling of personal information and information associated with third-party services is described in our Privacy Policy.

The Privacy Policy forms part of these Terms with respect to the handling of personal information.

15 Fees and Payments

Where a Winsoft product or service requires payment, applicable prices, licensing fees, maintenance charges, subscription fees, or other charges will be communicated to the customer through the relevant quotation, invoice, license agreement, subscription agreement, or other applicable commercial documentation.

Unless otherwise agreed in writing, applicable fees must be paid according to the payment terms provided by Winsoft.

16 Suspension or Termination

Winsoft may suspend or terminate a customer's license or access to services where:

  • The customer materially violates these Terms.
  • The customer uses the software unlawfully.
  • The customer attempts to circumvent licensing restrictions.
  • Required fees remain unpaid after applicable payment terms and notices.
  • Continued use creates a significant security, legal, or operational risk.

Where reasonably appropriate, Winsoft may provide notice and an opportunity to resolve the issue before suspension or termination.

Termination does not affect rights or obligations that accrued before termination.

17 Disclaimer of Warranties

To the maximum extent permitted by applicable law, Winsoft software and services are provided without warranties beyond those expressly provided in a separate written agreement.

We do not guarantee that the software will:

  • Be completely error-free.
  • Operate without interruption.
  • Be compatible with every hardware or software configuration.
  • Meet every specific business requirement.
  • Prevent every possible loss of data or security incident.

Customers should maintain appropriate backups and security measures.

18 Limitation of Liability

To the maximum extent permitted by applicable law, Winsoft Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our software or services.

This may include loss of profits, business interruption, loss of data, loss of business opportunities, or damages resulting from third-party services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Where a separate written agreement with a customer contains specific liability provisions, those provisions will apply to the extent of any conflict.

19 Third-Party Platform Changes

Some functionality of Winsoft applications depends on third-party platforms and APIs.

For example, Gmail sending functionality depends on Google's Gmail API.

Third-party providers may change their APIs, authentication requirements, policies, availability, quotas, or other conditions.

Winsoft may need to modify or discontinue affected functionality when changes by a third-party provider make continued operation impractical or impossible.

20 Changes to These Terms

Winsoft may update these Terms from time to time.

When we make changes, we will update the "Last Updated" date at the top of this page and publish the revised Terms at:

Continued use of the applicable software or service after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

21 Governing Law

These Terms will be governed by and interpreted in accordance with the laws applicable to Winsoft Solutions and the applicable customer relationship, without regard to conflict-of-law principles.

Where a separate written agreement with a customer specifies governing law or jurisdiction, that agreement will apply.
